Terms of Service

This document is a public offer of Logika LLC (PSRN 1242300027089, ITN 2361021041, hereinafter the Licensor), addressed to legally capable individuals, for entering into a license agreement for remote SaaS access to the software and databases of the NED AI service (neuroeditai.com).

Under Article 437(2) of the Civil Code of the Russian Federation this document constitutes a public offer. Acceptance (Article 438) is deemed to have occurred upon user registration on the website and payment of the license fee.

1. Definitions

Licensee

a legally capable individual aged 18 or older who has entered into the agreement under the terms of this offer.

Website

the Licensor's online resource at neuroeditai.com, including software and databases.

License

a simple (non-exclusive) license for remote access to the Website's functionality for a limited period and within established limits.

Account

a restricted area of the Website through which the Licensee manages access, subscriptions and auto-renewal.

License fee

payment by the Licensee for the provision of the License.

Trial access

a short-term license for evaluating the Website's capabilities.

2. Subject of the Agreement

1. The Licensor grants the Licensee a simple non-exclusive license for remote access to the Website: AI chat, code generation, image and video generation, speech-to-text, and text processing.
2. Access is provided worldwide.
3. The Licensor retains the right to grant licenses to other persons.
4. Prohibited: circumventing technical protection measures, decompiling or reverse-engineering the Website, copying, selling or otherwise distributing the Website.
5. Acceptance is registration with activation of the checkbox "I agree to the terms of the offer and data processing".
6. The Licensor may amend the offer; changes take effect upon publication with at least 3 calendar days' notice for material changes.

3. Rights and Obligations

The Licensor shall provide access from the License start date and shall not disclose Account data. The Licensee shall pay fees on time, not copy or distribute the Website, and not share credentials.

4. Fees and Payment

1. Current plans and pricing are published on the Pricing page.
2. Unused limits do not carry over; daily limits reset every day.
3. Upon trial payment, auto-renewal of the All-In license is activated.
4. Auto-renewal can be disabled in your Account or via the Cancel Subscription page.

5. Liability

1. If the Website is unavailable due to the Licensor's fault, the License term is extended accordingly.
2. The Licensee is fully responsible for the accuracy and legality of submitted data.
3. The Licensor is not liable for damages caused by disruptions beyond its control.

6. Term and Refunds

1. The agreement is effective from acceptance until obligations are fulfilled or termination.
2. Upon unilateral termination by the Licensee, access is preserved until the end of the paid period.
3. Refunds are issued for accidental double charges or documented unauthorized third-party actions.

7. Final Provisions

Disputes are resolved through a claims procedure. Response time: 10 business days. Force majeure extends performance deadlines proportionally.

Effective date: November 28, 2024.
